3. Description of Services

3.1 OgaRepair is a technology-enabled marketplace that facilitates connections between Customers seeking repair, maintenance, installation, and related services and Artisans offering such services through the Platform. The Company provides the Platform and related features to enable Customers and Artisans to discover one another, arrange service engagements, and manage transactions facilitated through the Platform.

3.2 The services and features made available through the Platform may include the following:

  1. Services for Customers: The Platform enables Customers to submit requests for repair, maintenance, installation, and related services; provide descriptions and photographs of the required work; receive AI-assisted support in describing service requests, where available; discover and book Artisans; receive and review quotations; approve proposed work and associated charges; make payments through the Platform; confirm completion of jobs; and submit ratings, reviews, or complaints in relation to services obtained through the Platform.
  2. Services for Artisans: The Platform enables Artisans to register and maintain User Accounts and service profiles; undergo identity and background verification; receive and respond to service requests; provide quotations; communicate with Customers; accept and manage Bookings; perform agreed services; receive payments for completed jobs, subject to applicable Fees and payment procedures; and receive ratings and reviews from Customers.
  3. Additional Platform Features: The Company may facilitate Callouts for the inspection of jobs where necessary, payment processing through third-party payment service providers, and the handling of complaints or disputes arising from services arranged through the Platform. The Company may also introduce additional features or services from time to time.

3.3 The Company provides the technological infrastructure and related platform services through which Customers and Artisans interact. Unless expressly agreed otherwise in writing, the Company does not itself perform the repair, maintenance, installation, or other services offered by Artisans. Artisans operate as independent service providers and are not employees of the Company. The terms governing the performance of a particular job, including its scope, price, materials, and completion requirements, shall be agreed between the relevant Customer and Artisan, subject to these Terms and applicable law.

3.4 The Company may engage third-party service providers to support the operation of the Platform, including providers of payment processing, identity verification, background checks, hosting, and other technical services. The availability and use of services provided by such third parties may be subject to their respective terms, conditions, and operational requirements.

3.5 The Company may introduce, modify, suspend, or discontinue any feature or aspect of the Platform from time to time, subject to these Terms and applicable law. The Company shall not be obliged to make any particular feature or service available at all times.

4. Eligibility and Accounts Registration

4.1 To register for, access, or use the Platform, you must: (a) be at least eighteen (18) years of age; (b) have the legal capacity to enter into a binding agreement under Nigerian law; (c) provide accurate, current, and complete information as required during registration or when using the Platform; and (d) not be prohibited by applicable law from accessing or using the Platform or the Services.

4.2 Users shall provide the information reasonably required by the Company to create and maintain a User Account. The Company may require Artisans to undergo identity verification, background checks, or other verification procedures before or during their use of the Platform. Users agree to provide accurate supporting information and documentation reasonably required for such procedures and to update their registration details where necessary. The Company may restrict access to certain features or decline registration where the applicable verification requirements are not satisfied.

4.3 You are responsible for: (a) maintaining the confidentiality and security of your Account login credentials and authentication details; (b) all activities carried out through your Account, except to the extent that such activities result from circumstances for which you are not responsible under applicable law; and (c) promptly notifying the Company if you become aware of unauthorised access to your Account or any suspected security breach.

4.4 The Company may refuse registration, restrict or suspend access to an Account, or terminate an Account where it reasonably considers that: (a) the User has provided incomplete, inaccurate, misleading, or fraudulent information; (b) the Account is being used in violation of these Terms or applicable law; (c) the User has engaged in fraudulent, abusive, or otherwise prohibited conduct; or (d) such action is reasonably necessary to protect the Platform, its Users, or the Company’s legitimate interests, subject to applicable law.

4.5 A User shall not register or maintain more than one Account. The Company may restrict, consolidate, suspend, or close duplicate Accounts, subject to applicable law.

5. Artisan Verification and Onboarding

5.1 Registration and Onboarding: An individual or business seeking to offer Services through the Platform must register as an Artisan and provide the information and documentation reasonably required by the Company for onboarding. This may include the Artisan’s identity, contact details, service categories, qualifications, relevant experience, business information, and other details reasonably necessary to establish the Artisan’s suitability to provide the Services offered.

5.2 Verification Checks: The Company may conduct identity verification, background checks, qualification checks, reference checks, or other reasonable verification procedures in relation to an Artisan. The Artisan agrees to provide accurate information and any supporting documents reasonably required for these checks. The Company may decline, suspend, or withdraw an Artisan’s access to the Platform where the Artisan fails to satisfy the applicable onboarding or verification requirements.

5.3 Scope of Verification: Verification by the Company is intended to support the integrity and safety of the Platform. Unless expressly stated otherwise, verification does not constitute a guarantee of an Artisan’s competence, qualifications, conduct, reliability, or the quality of any Services performed. Customers remain responsible for considering the information available on the Platform when selecting an Artisan, subject to the Company’s obligations under applicable law.

5.4 Artisan Representations: Each Artisan represents and warrants that all information and documents provided during registration, verification, and use of the Platform are accurate, complete, and not misleading. The Artisan shall promptly notify the Company of any material change to that information, including changes affecting their identity, contact details, qualifications, business status, or ability to provide the Services listed on the Platform.

5.5 Ongoing Compliance: Artisans shall maintain any licences, permits, qualifications, or authorisations required under applicable law to provide the Services they offer. The Company may request updated information or documentation and may restrict or suspend an Artisan’s access to the Platform where reasonably necessary to address verification concerns, suspected misconduct, or non-compliance with these Terms or applicable law.

5.6 Independent Service Providers: Artisans operate as independent service providers and are not employees, agents, partners, or representatives of the Company solely by virtue of registering on or providing Services through the Platform. Artisans are responsible for the manner in which they perform their Services, subject to these Terms and applicable law.

6. Job Requests and Quotations

6.1 Submission of Job Requests: Customers may submit requests for Services through the Platform by providing details of the work required, including the nature of the problem, the location where the Services are required, relevant photographs or supporting information, and any other details reasonably requested by the Company. Customers are responsible for ensuring that the information submitted is accurate, complete, and sufficient to enable Artisans to assess the request.

6.2 Assistance with Job Description: Where available, the Platform may use automated tools, including artificial intelligence, to assist Customers in preparing or clarifying job descriptions. Such assistance is provided for convenience and does not replace the Customer’s responsibility to verify the accuracy of the information submitted or an Artisan’s assessment of the work required.

6.3 Review and Allocation of Requests: The Company may make job requests available to suitable Artisans through the Platform, taking into account relevant factors such as service category, location, availability, and other operational considerations. The Company does not guarantee that every job request will receive a response, quotation, or Booking.

6.4 Quotations: Artisans may provide quotations in response to job requests. A quotation may specify the proposed scope of work, labour charges, estimated material costs, callout fees, other applicable charges, and any assumptions, exclusions, or conditions relevant to the proposed Services. Customers are responsible for reviewing a quotation and seeking clarification from the Artisan before accepting it.

6.5 Estimates and Final Costs: Unless expressly stated otherwise, a quotation based on the information initially supplied by a Customer may be an estimate and may need to be revised following an inspection or further assessment of the work required. Any proposed change to the scope of work or price shall be communicated to the Customer for approval before the additional or revised work is undertaken, except where otherwise agreed by the parties or permitted by applicable law.

6.6 Callouts and Inspections: Where a job requires an inspection before a quotation can be confirmed, the Customer may be required to pay a Callout fee disclosed through the Platform before the inspection is arranged. The applicable fee and any conditions relating to payment, cancellation, or refunds shall be communicated to the Customer before the Callout is confirmed.

6.7 Acceptance of Quotations: A Customer may accept a quotation through the Platform in accordance with the available booking process. An Artisan is not authorised to undertake work beyond the agreed scope or charge additional amounts that have not been disclosed to and approved by the Customer, subject to applicable law. Any agreed changes to the scope, price, or timing of the Services should be recorded through the Platform where the relevant functionality is available.

6.8 No Guarantee of Availability: The submission of a job request or receipt of a quotation does not, by itself, guarantee that an Artisan will be available to perform the Services or that a Booking has been confirmed. Booking shall be treated as confirmed in accordance with the booking process communicated through the Platform.

7. Booking and Performance of Services

7.1 A Booking shall be confirmed when a Customer accepts an Artisan’s quotation and the applicable booking requirements specified on the Platform have been satisfied. The Company may communicate the status of a Booking through the Platform or other contact details provided by the relevant User. Users are responsible for reviewing Booking details and ensuring that the agreed arrangements are accurate.

7.2 Upon confirmation of a Booking, the Customer and Artisan shall be bound by the agreed scope of work, price, service location, scheduled date and time, and any other conditions agreed through the Platform. The Artisan shall perform the Services in accordance with the agreed terms, exercising reasonable care and skill and complying with applicable laws and relevant safety requirements.

7.3 The Customer shall:

  1. provide accurate information about the work required and the location where the Services are to be performed;
  2. provide the Artisan with reasonable access to the relevant premises at the agreed time;
  3. disclose any known hazards or conditions that may materially affect the safe performance of the Services;
  4. ensure that any necessary permissions for the Artisan to access the premises or perform the agreed work have been obtained; and
  5. pay the applicable charges in accordance with these Terms and the agreed Booking.

7.4 The Artisan shall:

  1. attend the service location at the agreed date and time, or promptly notify the Customer of any delay or inability to attend;
  2. perform the Services with reasonable care, skill, diligence, and professionalism;
  3. use materials and equipment appropriate for the agreed work and disclose any material changes to the proposed materials or costs before proceeding;
  4. comply with applicable laws, safety requirements, and any reasonable access rules communicated by the Customer;
  5. keep the Customer reasonably informed of the progress of the work and promptly communicate any issues that may affect its scope, cost, or completion; and
  6. leave the work area in a reasonably safe and orderly condition upon completion, taking into account the nature of the Services performed.

7.5 Any material change to the scope, price, materials, or schedule of a Booking shall be communicated to the other party and agreed before the change is implemented. Users shall use the Platform’s designated functionality to propose, review, approve, and record any such changes, thereby ensuring that the agreed arrangements are accurately reflected on the Platform. Any change affecting the payment amount or Booking status shall be recorded and processed through the Platform.

7.6 If an Artisan is unable to attend or complete a Booking as agreed, the Artisan shall notify the Customer as soon as reasonably practicable. If a Customer is unable to provide access to the premises or otherwise prevents the Services from proceeding, the Customer shall notify the Artisan promptly. The parties may agree to reschedule the Booking or take other appropriate steps in accordance with these Terms and the applicable cancellation and refund provisions.

7.7 Upon completion of the Services, the Artisan may notify the Customer through the Platform or another agreed communication channel. The Customer shall have a reasonable opportunity to inspect the completed work and raise any concerns regarding incomplete, defective, or non-conforming Services. The procedure for confirming completion, reporting issues, and releasing payments shall be governed by the applicable provisions of these Terms.

7.8 An Artisan shall not undertake additional work or incur charges beyond the agreed scope of a Booking without obtaining the Customer’s prior approval, except where otherwise agreed by the parties or permitted by applicable law. The Customer shall not be required to pay for unauthorised additional work solely because the Artisan has performed it.

7.9 The Artisan is responsible for the actual performance of the Services and for ensuring that the work undertaken conforms to the agreed scope and applicable legal requirements. The Company facilitates the Booking through the Platform but does not itself perform the Services, unless expressly stated otherwise in a separate written agreement.

7.10 Users shall act reasonably to protect the safety, security, and property of others during the performance of a Booking. Artisans shall use access to a Customer’s premises only for purposes connected with the agreed Services and shall not engage in conduct that is unlawful, threatening, abusive, or otherwise inappropriate.

8. User Responsibilities

8.1 All Users shall use the Platform lawfully, honestly, and in good faith and shall comply with these Terms and all applicable laws and regulations. Users shall provide accurate, complete, and up-to-date information when registering, submitting job requests, providing quotations, making Bookings, or otherwise using the Platform.

8.2 Users Responsibilities: Users shall not:

  1. use the Platform for any unlawful, fraudulent, deceptive, or unauthorised purpose;
  2. provide false, misleading, incomplete, or fraudulent information, including information relating to identity, qualifications, service requirements, or payment;
  3. impersonate another person or misrepresent their identity, qualifications, authority, or affiliation;
  4. interfere with the proper operation, security, or integrity of the Platform, or attempt to gain unauthorised access to any Account, system, or data;
  5. use the Platform to distribute malicious software, spam, threatening material, or other content that is unlawful or harmful;
  6. harass, threaten, discriminate against, defraud, or otherwise engage in abusive conduct towards another User or the Company;
  7. circumvent the Platform’s booking, payment, commission, or other procedures in connection with Services introduced or facilitated through the Platform, where doing so would breach these Terms; or
  8. use the Platform in any manner that infringes the rights of another person or is likely to harm the Company, another User, or the public.

8.3 Customer Responsibilities: In addition to the general responsibilities under these Terms, Customers shall:

  1. provide clear and accurate descriptions of the Services required and disclose any material information relevant to the work;
  2. review quotations and Booking details carefully before accepting them;
  3. ensure that the Artisan has reasonable access to the premises where the Services are to be performed and disclose known hazards that may affect the safe performance of the work;
  4. obtain any permissions or authorisations required for the work to be carried out at the relevant premises;
  5. make payments due in accordance with the agreed Booking and the applicable payment provisions of these Terms; and
  6. communicate respectfully and promptly with Artisans regarding Bookings, changes to agreed arrangements, and concerns about the Services.

8.4 Artisan Responsibilities: In addition to the general responsibilities under these Terms, Artisans shall:

  1. provide accurate information regarding their identity, qualifications, experience, service categories, and availability;
  2. accept only Bookings for which they have the relevant competence, capacity, and authorisations required by applicable law;
  3. provide quotations that accurately reflect the proposed scope of work and disclose applicable charges, material costs, and relevant exclusions or conditions;
  4. perform agreed Services with reasonable care and skill, in accordance with the Booking and applicable law;
  5. obtain the Customer’s approval through the Platform before implementing material changes to the agreed scope, price, materials, or schedule;
  6. treat Customers, their premises, and their property with due care and respect;
  7. refrain from using Customer information or access to a Customer’s premises for purposes unrelated to the agreed Services, except as otherwise authorised by the Customer or permitted by law; and
  8. promptly notify the Customer and the Company of any material issue affecting the performance or completion of a Booking.

8.5 Users shall provide and maintain valid contact details and respond within a reasonable time to communications reasonably necessary to arrange or perform a Booking. Users shall use the Platform’s available functionality for messaging, proposing and approving changes, recording job progress, and processing payments, as applicable, in accordance with these Terms.

8.6 Users are responsible for the accuracy, legality, and appropriateness of the information, photographs, reviews, messages, and other materials they submit or upload to the Platform. Users shall not submit content that is unlawful, misleading, defamatory, threatening, discriminatory, infringing, or that unlawfully discloses another person’s personal information.

8.7 Where the Company reasonably believes that a User has breached this Clause or otherwise misused the Platform, it may take appropriate action in accordance with these Terms and applicable law, including issuing a warning, removing content, restricting access to features, suspending an Account, or terminating access to the Platform.

9. Fees, Payments and Billing

9.1 The fees payable for Services shall be determined by the relevant Artisan and communicated to the Customer through the Platform. Such fees may include labour, materials, Callout fees and other charges applicable to the requested Services. The Customer shall review and approve the applicable quotation through the Platform before the relevant Booking is confirmed. The Company may also charge separate platform, booking or other service fees, provided such fees are disclosed to the relevant User before the applicable transaction is completed.

9.2 Where a Callout is required, the applicable Callout fee and any conditions relating to cancellation, non-attendance or refunds shall be disclosed to the Customer through the Platform before the Callout is confirmed. Payment of a Callout fee does not, by itself, constitute acceptance of an Artisan’s quotation or confirmation of any further Booking.

9.3 The Company may charge Artisans a commission or other applicable fees for the use of the Platform and facilitation of Bookings. The applicable rates and calculation method shall be communicated to the Artisan through the Platform or otherwise agreed between the Company and the Artisan. The Company may deduct the applicable commission and any other authorised charges from amounts payable to the Artisan in accordance with these Terms. Any change to the applicable commission rate shall be communicated to the affected Artisan in advance and shall not apply retrospectively to a confirmed Booking unless otherwise agreed.

9.4 Users shall make and receive payments for Bookings through the payment functionality provided on the Platform or through another payment method expressly authorised by the Company. Payments processed through the Platform may be handled by a third-party payment service provider and shall be subject to the applicable payment procedures, terms and conditions. Users shall provide any information reasonably required to process, verify or complete a payment.

9.5 Where the Platform provides for payment to be held by a payment service provider pending completion of a Booking, the funds shall be processed and released in accordance with the applicable payment arrangements. Subject to any applicable dispute, refund, reversal or other authorised deduction, payment shall be released to the Artisan following the Customer’s confirmation of completion through the Platform or in accordance with the applicable completion procedure. The Company may facilitate the resolution of a payment-related complaint and may request relevant information from the parties before the payment is processed. Nothing in this clause shall be construed as representing that the Company itself holds Customers’ funds where such funds are held by a third-party payment service provider.

9.6 Any change to the agreed scope of a Booking that affects the price, including additional labour, materials or other charges, shall be communicated to the Customer and approved before the additional work is undertaken. Users shall use the relevant Platform functionality to propose, approve and record such changes. The Company shall not be responsible for additional charges that have not been approved in accordance with these Terms, except where otherwise required by applicable law.

9.7 Refunds, payment reversals and cancellations shall be handled in accordance with these Terms, the applicable Booking arrangements, the Platform’s procedures and the requirements of applicable law. Where a refund or reversal is approved, the amount payable and the method and timing of processing shall be subject to the applicable payment service provider’s procedures. The Company may request supporting information from the relevant Users to assess a refund or payment complaint.

9.8 A User who disputes a payment, deduction, refund or other billing matter shall notify the Company through the designated Platform channel or other contact method made available by the Company, providing relevant details and supporting evidence. The Company may review the complaint, request further information, facilitate communication between the parties or refer the matter to the relevant payment service provider. Any action taken shall be subject to the applicable payment arrangements and applicable law.

9.9 Where a payment fails, is reversed, remains outstanding or is otherwise not completed, the Company may notify the relevant User and take reasonable steps to resolve the issue. Subject to applicable law, the Company may restrict further Bookings or access to payment-related features where a User fails to settle an amount properly due or engages in fraudulent, abusive or unauthorised payment activity.

9.10 Each User shall be responsible for taxes, duties and other statutory charges applicable to that User or to the Services supplied by that User, as required by applicable law. The Company shall be responsible for accounting for and remitting taxes applicable to its own fees or supplies where required by law. The Company may collect or display applicable taxes through the Platform where legally required.

10. Privacy and Data Protection

10.1 The Company may collect and process personal data relating to Users for purposes connected with registration, account management, identity verification, background checks, matching Customers with Artisans, facilitating Bookings, processing payments, handling complaints, improving the Platform, preventing fraud, and complying with applicable legal and regulatory requirements.

10.2 The personal data processed by the Company may include names, contact details, account information, identification documents, verification results, service requests, photographs, Booking records, payment-related information, communications, ratings, reviews, and other information reasonably necessary for the operation of the Platform.

10.3 Where reasonably necessary and lawful, the Company may engage third-party service providers to conduct identity verification, background checks, or related verification procedures. Such procedures may involve the processing of identification numbers, biometric information, or other sensitive personal data where applicable. The Company shall ensure that such processing is supported by an appropriate lawful basis and any consent or other authorisation required under applicable data protection law.

10.4 The Company may disclose or make personal data available to payment processors, identity verification providers, hosting providers, customer support providers, and other service providers where reasonably necessary for the purposes described in these Terms. The Company shall take reasonable steps to ensure that such disclosures and processing arrangements comply with applicable data protection requirements.

10.5 Users shall ensure that personal data they submit to the Platform is accurate and that they are authorised to provide any personal data relating to another person. Users shall not collect, use, disclose, or otherwise process another User’s personal data for purposes unrelated to a Booking or other legitimate Platform activity, except with the relevant person’s authorisation or as permitted by law.

10.6 The Company shall implement appropriate technical and organisational measures to protect personal data against unauthorised access, loss, alteration, disclosure, or destruction. Personal data shall be retained only for as long as reasonably necessary for the relevant purposes or as required or permitted by applicable law.

10.7 Users may exercise applicable rights in relation to their personal data, including rights of access, correction, deletion, objection, restriction, or withdrawal of consent, where available under applicable law. Requests may be submitted through the Company’s designated contact channels and shall be handled in accordance with applicable legal requirements.

10.8 Privacy Policy: The Company’s processing of personal data shall be further governed by its Privacy Policy, which forms part of the policies applicable to the Platform. Where there is a conflict between these Terms and the Privacy Policy concerning the processing of personal data, the Privacy Policy shall govern that subject matter to the extent of the conflict, subject to applicable law.

11. Confidentiality

11.1 In connection with the use of the Platform or performance of a Booking, a User may receive or have access to non-public information relating to another User or the Company, including personal information, contact details, access arrangements, security information, business information, pricing, technical information, and other information that is confidential by nature or identified as confidential.

11.2 User shall use confidential information only for purposes reasonably connected with the relevant Booking or the lawful use of the Platform and shall not disclose it to another person except where disclosure is necessary for those purposes, authorised by the person to whom the information relates, or permitted by law.

11.3 Confidential information does not include information that the receiving User can demonstrate is publicly available through no breach of these Terms, was lawfully known to the receiving User before disclosure, was independently developed without use of the confidential information, or was lawfully received from another source without a duty of confidentiality.

11.4 Artisans shall use information obtained through a Booking, including access codes, photographs, addresses, and details of a Customer’s premises, only to the extent reasonably necessary to perform the agreed Services. Artisans shall not retain, publish, or share such information for unrelated purposes without appropriate authorisation or a lawful basis.

11.5 The obligations under this Section shall continue after the completion or termination of a Booking or a User’s access to the Platform for as long as the information remains confidential or is otherwise protected by applicable law.

12. Intellectual Property

12.1 All intellectual property rights in and to the Platform, including its software, source code, design, interfaces, logos, trademarks, branding, text, graphics, databases, and other materials developed or provided by the Company, belong to the Company or its licensors, except as otherwise expressly stated.

12.2 Subject to these Terms, the Company grants each User a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purposes. This licence does not confer ownership of any intellectual property rights in the Platform or its underlying technology.

12.3 Users shall not, except as permitted by applicable law or with the Company’s prior written consent:

  1. copy, reproduce, distribute, modify, or commercially exploit the Platform or its content beyond the permitted use of the Platform;
  2. reverse engineer, decompile, or attempt to extract the source code of the Platform, except where such restriction is prohibited by law;
  3. remove or alter proprietary notices, trademarks, or other intellectual property notices appearing on the Platform; or
  4. use the Company’s name, trademarks, branding, or other intellectual property in a manner that suggests an endorsement, affiliation, or commercial relationship that does not exist.

12.4 Users retain ownership of the intellectual property rights they hold in photographs, descriptions, reviews, messages, and other content they submit to the Platform. By submitting such content, a User grants the Company a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and use that content to the extent reasonably necessary to operate, maintain, promote, and improve the Platform and facilitate the relevant Services, subject to applicable law and the User’s privacy rights.

12.5 Each User represents that they own, control, or otherwise have the necessary rights and permissions to submit content to the Platform and grant the licence described in this Section. Users shall not upload or distribute content that infringes another person’s intellectual property rights.

12.6 Where a User provides suggestions, recommendations, or other feedback concerning the Platform, the Company may use such feedback to develop or improve its products and services without compensation to the User, provided that this does not affect the User’s ownership of any pre-existing intellectual property disclosed in the feedback.

12.7 A User who reasonably believes that content available through the Platform infringes their intellectual property rights may notify the Company through its designated contact channels, providing sufficient information to identify the material and substantiate the complaint. The Company may remove or restrict access to disputed content where reasonably necessary and in accordance with applicable law.

13. Disclaimers and Limitation of Liability

13.1 The Company operates the Platform as a marketplace to facilitate connections and transactions between Customers and independent Artisans. Unless expressly agreed otherwise in a separate written agreement, the Company does not itself perform the repair, maintenance, installation, or other Services offered by Artisans.

13.2 Artisans are independent service providers responsible for performing their Services in accordance with the relevant Booking, applicable professional standards, and applicable law. The Company does not employ Artisans solely by virtue of their registration on the Platform and does not control the manner in which they perform their Services, subject to the Company’s contractual obligations and applicable law.

13.3 Although the Company may conduct identity verification, background checks, or other screening procedures, such procedures do not guarantee an Artisan’s competence, honesty, reliability, qualifications, conduct, or suitability for a particular job. Users remain responsible for considering the information available through the Platform when entering into a Booking, subject to any duties imposed on the Company by applicable law.

13.4 The Company shall take reasonable steps to maintain the availability and proper functioning of the Platform but does not guarantee uninterrupted or error-free operation. Certain features may depend on third-party services, including payment processing, identity verification, hosting, and other technical services. The Company shall not be responsible for failures attributable solely to third parties to the extent permitted by applicable law, but this shall not exclude liability arising from the Company’s own breach of these Terms or other acts or omissions for which it is legally responsible.

13.5 Any artificial intelligence or automated tools made available through the Platform are intended to assist Users, including with the preparation or clarification of job descriptions. Such tools may produce incomplete or inaccurate information and do not replace professional inspection, technical assessment, or the independent judgment of an Artisan. Users remain responsible for reviewing and verifying information before relying on it.

13.6 To the maximum extent permitted by applicable law, the Company shall not be liable for indirect, incidental, special, exemplary, or consequential losses, including loss of profits, revenue, business opportunities, or anticipated savings, arising from the use of the Platform or a Booking, except to the extent such losses arise from matters for which the Company’s liability cannot lawfully be excluded.

13.7 Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury to the extent caused by negligence where such exclusion is prohibited by law, or any other liability that cannot lawfully be excluded or limited. Nothing in these Terms removes any non-excludable rights or remedies available to Customers under applicable consumer protection law.

13.8 The Company does not guarantee that every job request will receive a response, that every Booking will be completed within a particular timeframe, or that the outcome of every Service will meet a User’s subjective expectations. This clause does not relieve an Artisan of responsibility for performing the agreed Services with reasonable care and skill or the Company of its own obligations under these Terms and applicable law.

14. Indemnity

14.1 Each User shall be responsible for losses, liabilities, damages, costs, and reasonable expenses incurred by the Company arising directly from:

  1. the User’s material breach of these Terms;
  2. the User’s unlawful, fraudulent, or wilfully wrongful conduct in connection with the Platform;
  3. the User’s infringement of a third party’s intellectual property rights or other legally protected rights; or
  4. a claim by a third party arising from the User’s acts or omissions in performing or receiving Services, to the extent the User is legally responsible for the relevant acts or omissions.

14.2 Without limiting Clause 14.1, an Artisan shall be responsible for claims arising from the Artisan’s negligent, unlawful, or wilfully wrongful performance of Services, including damage to property or injury to persons, to the extent attributable to the Artisan’s acts or omissions.

14.3 A Customer shall be responsible for claims arising from the Customer’s unlawful conduct, material misrepresentations, or failure to disclose material hazards at the service location, to the extent such claims arise from the Customer’s acts or omissions.

14.4 The Company shall, where reasonably practicable, notify the relevant User of a claim for which indemnity is sought and provide reasonable cooperation in responding to the claim. The User shall not settle a claim in a manner that imposes an admission of liability or an obligation on the Company without the Company’s prior written consent.

14.5 An indemnity under this Section shall apply only to the extent that the relevant loss or claim is attributable to the acts, omissions, or breach of the User providing the indemnity. No User shall be required to indemnify the Company for losses caused by the Company’s own negligence, wilful misconduct, breach of these Terms, or other acts or omissions for which the User is not legally responsible.

15. Suspension and Termination

15.1 The Company may suspend an Account, restrict access to particular Platform features, remove content, or otherwise limit a User’s access where it reasonably considers such action necessary because:

  1. the User has breached these Terms or applicable law;
  2. the User has provided false, misleading, or fraudulent information;
  3. the Company reasonably suspects fraud, unauthorised activity, abuse, or a threat to the safety or security of Users or the Platform;
  4. the User has failed to satisfy applicable verification requirements;
  5. the User has failed to pay an amount properly due or has engaged in prohibited payment practices; or
  6. the action is reasonably necessary to comply with a legal or regulatory requirement or protect the legitimate interests of the Company or other Users.

15.2 Where reasonably practicable and legally permissible, the Company shall notify the affected User of a suspension or restriction and provide a reasonable opportunity to address the relevant issue or request a review. The Company may take immediate action without prior notice where reasonably necessary to prevent fraud, protect safety, secure the Platform, or comply with law.

15.3 A User may request the closure of their Account by following the account closure procedure made available through the Platform or contacting the Company through its designated support channels. Account closure shall not extinguish obligations or liabilities accrued before closure or affect any transaction that remains outstanding.

15.4 Termination by the Company: The Company may terminate a User’s Account or discontinue access to the Platform where the grounds specified in Clause 15.1 justify termination, or where continued access is no longer reasonably practicable, subject to applicable law and any notice requirements that apply.

15.5 Upon termination or closure of an Account, the User’s right to access and use the Platform shall cease, except to the extent access remains necessary to complete outstanding obligations, resolve disputes, process payments or refunds, or exercise legal rights.

15.6 Termination or suspension shall not automatically cancel an existing Booking or extinguish payment obligations arising from Services already performed. The Company may take reasonable steps to address pending Bookings, outstanding payments, refunds, and disputes in accordance with these Terms, the applicable payment arrangements, and applicable law.

15.7 The Company may retain and process information following Account closure to the extent reasonably necessary to comply with legal obligations, resolve disputes, prevent fraud, enforce these Terms, or establish, exercise, or defend legal claims. Such retention shall remain subject to applicable data protection requirements.

15.8 Provisions which by their nature are intended to survive termination, including provisions concerning outstanding payments, confidentiality, intellectual property, indemnity, limitation of liability, dispute resolution, and accrued rights and obligations, shall continue to apply after termination.

16. Amendments to the Terms

16.1 The Company may amend these Terms from time to time to reflect changes in the Platform, its business operations, applicable law, regulatory requirements, or other legitimate business needs.

16.2 The Company shall make amended Terms available through the Platform and shall provide reasonable notice of material changes through the Platform, email, or another appropriate communication channel, where practicable and as required by applicable law.

16.3 Each amendment shall take effect on the date specified in the amended Terms or accompanying notice. Where applicable law requires a User’s express consent to a material amendment, the amendment shall not bind that User unless the required consent has been obtained.

16.4 Subject to Clause 16.3 and applicable law, continued use of the Platform after an amendment takes effect may constitute acceptance of the amended Terms. A User who does not agree to a material amendment may discontinue use of the Platform and request closure of their Account, subject to any outstanding obligations.

16.5 Unless otherwise required by law or expressly agreed by the relevant parties, an amendment shall not retrospectively alter the agreed price or other material terms of a confirmed Booking. Any change affecting an existing Booking shall be handled in accordance with the applicable provisions of these Terms.

17. Governing Law and Dispute Resolution

17.1 These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

17.2 A User who has a complaint concerning the Platform, an Artisan, a Customer, a Booking, or a payment shall first notify the Company through its designated support channels, providing reasonable details of the complaint and any relevant supporting information. The Company may facilitate communication between the parties, request additional information, or take other reasonable steps to assist in resolving the matter.

17.3 Where a dispute cannot be resolved through the Company’s complaint-handling process, the parties shall make reasonable efforts to resolve the dispute amicably through good-faith discussions. Either party may propose mediation or another mutually acceptable dispute-resolution mechanism.

17.4 Where a dispute remains unresolved, either party may refer the matter to mediation in accordance with the Arbitration and Mediation Act 2023. The mediation shall be conducted by a mediator mutually appointed by the parties. Where the parties are unable to agree on the appointment of a mediator, the mediator shall be appointed in accordance with the applicable provisions of the Arbitration and Mediation Act 2023.

17.5 Nothing in this Section prevents a party from seeking urgent interim or injunctive relief from a competent court where reasonably necessary to protect its rights or interests.

17.6 The Company’s role in facilitating a Booking or complaint does not make it automatically responsible for resolving every dispute between a Customer and an Artisan. The Company may assist with communication or refer a matter to a relevant third-party service provider, but each party remains responsible for its own contractual obligations and legal responsibilities, subject to these Terms and applicable law.

18. Miscellaneous

18.1 These Terms, together with any policies expressly incorporated by reference and any applicable separate written agreements, constitute the agreement between the Company and each User concerning access to and use of the Platform. They supersede prior understandings between the Company and the User concerning the same subject matter, except to the extent otherwise expressly agreed in writing.

18.2 Severability: If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed or limited to the minimum extent necessary, and the remaining provisions shall continue in effect to the extent permitted by applicable law.

18.3 No Waiver: A failure or delay by the Company or a User to exercise a right or remedy under these Terms shall not constitute a waiver of that right or remedy. A waiver shall be effective only to the extent expressly stated.

18.4 Assignment: The Company may assign or transfer its rights and obligations in connection with a restructuring, merger, acquisition, or transfer of its business, subject to applicable law and any necessary notice or consent requirements.

18.5 No Partnership or Employment: Nothing in these Terms creates a partnership, joint venture, employment relationship, or agency relationship between the Company and an Artisan solely by virtue of the Artisan’s use of the Platform. No User may represent that they have authority to bind the Company unless expressly authorised in writing.

18.6 Force Majeure: Neither the Company nor a User shall be liable for a failure or delay in performing an obligation to the extent directly caused by an event beyond that party’s reasonable control, including natural disasters, widespread telecommunications or power failures, civil unrest, or government action, provided that the affected party takes reasonable steps to mitigate the effects of the event. This clause shall not excuse payment obligations already accrued or obligations that cannot lawfully be suspended.

18.7 Notice: Notices under these Terms may be communicated through the Platform, email, or other electronic contact details provided by the relevant User, except where applicable law requires a particular method of service. Users shall maintain accurate contact details and regularly review communications concerning their Accounts and Bookings.

18.8 Third-Party Rights: Except as expressly provided in these Terms or required by applicable law, a person who is not a party to these Terms shall have no right to enforce their provisions solely by virtue of being referred to in them.

18.9 Language: These Terms are prepared in English. Where a translation is made available for convenience, the English version shall prevail in the event of inconsistency, to the extent permitted by applicable law.

18.10 Electronic Records and Communications: Users acknowledge that electronic communications, Booking confirmations, quotations, payment records, and other records generated or maintained through the Platform may be used as evidence of transactions and agreed arrangements, subject to applicable law and the rules governing the admissibility of evidence.
